Filings Kept Current

ROC Compliance for Companies and LLPs

Annual returns are only one part of company and LLP compliance. We review your filing history, identify upcoming obligations and prepare the records and forms needed for annual and event-based requirements. Directors and authorised signatories retain responsibility for reviewing and approving submissions.

About the Service

Understanding ROC Compliance

ROC compliance means meeting the filing and record-keeping duties set by the Companies Act, 2013 and the LLP Act, 2008. For a company, this normally includes holding board meetings and an annual general meeting, filing financial statements and an annual return, and keeping statutory registers. For an LLP, it includes filing the annual return and the statement of account and solvency.

Alongside the annual cycle there are event-based filings: appointment or resignation of directors, change of registered office, share allotment, changes in the constitutional documents, charges on assets and more. Late filing attracts additional fees, and prolonged default can lead to penalties and consequences for directors. We help identify upcoming obligations and assess how to address overdue filings.

Our team is based in Gandhi Nagar, Delhi, supporting clients across Delhi-NCR and remotely across India. We confirm any on-site or hearing requirements when agreeing the engagement.

How We Work

How We Assist with ROC Compliance

  1. Check Your Status

We review the company or LLP master data and past filings to see what is current, what is due and what has been missed.

  2. Build the Calendar

We map the filings, meetings and resolutions required for your entity and set dates ahead of each due date.

  3. Prepare and Review

We prepare the documents and forms, you review and approve them, and directors sign using their digital signatures.

  4. File and Keep Records

We file, store the acknowledgements, update the registers and remind you before the next cycle.

Questions

ROC Compliance: Common Questions

The useful answers, upfront.

Still have a question? Start a conversation and we will point you in the right direction.

Yes. A registered company or LLP must file its annual documents even if it has had no turnover. Some entities that are genuinely dormant may have other options, and we will tell you whether one applies to you.
